1. Who we are
Q-Grade Apps ("Q-Grade", "we", "us") is an independent software studio that designs, builds, and delivers custom vertical SaaS applications under a fixed 7-day build cycle. These Terms govern your use of qgradeapps.site and any build order you place with us.
2. What you're buying
A Q-Grade build order is a one-time service engagement for $7,500 USD, billed in full at checkout. Each order includes:
- A 7-day enterprise build cycle starting on the kickoff date we confirm with you.
- A custom application built on our hardened foundation (RLS, ACLs, isolated storage, edge deployment).
- Documentation, runbooks, and a handoff package.
- Gold Master Class certification of the delivered build.
- A $500 contribution to the Q-Grade St. Jude Fund, included in the build fee.
Scope is defined by the build brief you submit at qgradeapps.site/start and any written confirmations we exchange before kickoff. Changes after kickoff may require a separate change order.
3. Your responsibilities
- Provide accurate information in your build brief and respond to scoping questions in a timely manner.
- Supply any content, branding, accounts, or credentials we need to complete the build.
- Use the delivered application lawfully and in compliance with all applicable regulations.
4. Acceptable use
You agree not to use Q-Grade services or any delivered build to:
- Violate any law or third-party right, including intellectual property and privacy rights.
- Distribute malware, conduct fraud, or attempt to gain unauthorized access to systems.
- Build products that facilitate harassment, illegal surveillance, or harm to minors.
We may decline or terminate engagements that violate this section.
5. Intellectual property
On full payment and final delivery, you own the application-specific code, configuration, and branded assets we produce for you. Q-Grade retains all rights to its underlying foundation, reusable components, internal tooling, libraries, templates, and know-how ("Q-Grade Platform"), and grants you a perpetual, worldwide, non-exclusive, royalty-free license to use the Q-Grade Platform components embedded in your delivered build, solely as part of that build.
Q-Grade may reference your engagement in case studies and marketing materials in a manner that does not disclose your confidential information, unless you opt out in writing.
6. Payment
Payment of $7,500 USD is processed at checkout via Stripe. Orders are not scheduled until payment is confirmed. Refunds are governed by our Refund Policy.
7. Warranties and disclaimers
We will perform the build with reasonable skill and care, consistent with industry standards. Beyond that, the website and any deliverables are provided "as is" and "as available". To the maximum extent permitted by law, Q-Grade disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, Q-Grade's total aggregate liability arising out of or related to a build order is limited to the amount you paid for that build order. Q-Grade is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, or business interruption.
9. Confidentiality
Each party will protect non-public information disclosed by the other party with reasonable care and use it only to perform under these Terms. This obligation continues for two years after our engagement ends.
10. Termination
You may cancel an order before the build kickoff date in accordance with our Refund Policy. We may suspend or terminate an engagement if you breach these Terms, fail to provide required information after reasonable notice, or use the service for prohibited purposes.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, communicated by email to active customers. Continued use of the site or services after an update constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of residence of Q-Grade Apps' principal place of business, without regard to its conflict of laws principles. Disputes will be resolved in the state and federal courts located there, except where applicable law requires otherwise.
